and Landis was founded in 1962 by New Jersey Governor Robert B. Meyner. Our firm has a commercial practice, with
concentrations in Banking, Business Transactions, Immigration, Corporate Law, Creditor’s Rights, Commercial and Construction Litigation, Environmental, Real Estate, and Trusts and Estates.

Banking
and Finance
Meyner
and Landis has a longstanding and significant presence in New Jersey in the
representation of financial institutions.
Our firm represents lenders (whether as lead lender, participant or
agent) in closing asset-based, construction, commercial and real estate loan
transactions.
Immigration
The
immigration law practice of Meyner and Landis LLP provides a full scope of
business and corporate immigration law services with a global reach. This includes representation of large and
small businesses seeking to recruit and retain foreign nationals to meet
staffing goals; foreign nationals seeking work or trader or investor
opportunities or wanting to achieve family reunification. In addition to our inbound visa practice, our
Immigration Law Group counsels clients in areas of worksite compliance,
including H-1B public access compliance, I-9 audits and E-Verify requirements.
Business Transactions
Meyner
and Landis provides advice in a full range of business organizations, including
the formation of traditional and non-profit corporations, limited liability
companies, partnerships and joint ventures. Our firm handles a wide range of
business transactions, including purchase and sale of business, stockholder and
operating agreements, and employment agreements.
Creditor’s Rights
Representation
of lenders in loan restructures, work-out and bankruptcy constitutes a
specialty area of our practice. Meyner
and Landis has extensive expertise in the negotiation and restructuring of defaulted
loans, secured party collateral sales, debtor-in-possession financing, cash
collateral orders, commercial litigation involving relief from the automatic
stay, preferences, fraudulent conveyance and other adversary proceedings. Meyner and Landis represents SBA lenders in
asset recovery and bankruptcy. Our firm
is involved in all aspects of commercial foreclosure and collection practice.
Environmental and Redevelopment
Meyner and
Landis handles all aspects of
environmental compliance, counseling and litigation as it relates to
redevelopment, use, purchase, sale, lease, mortgage, foreclosure, condemnation
and cleanup of contaminated property in New Jersey. We specialize in limiting our client’s environmental
risks as part of the negotiation and drafting of transactional documents by
transferring environmental risk to others and using escrows, sureties,
guarantees, releases, indemnities, grants, low-interest loans, fixed price
cleanup contracts, institutional and engineering controls, insurance, the
assignment of insurance claims and the Environmental Rights Act, among other
techniques.
We
also assist clients handling cleanup projects in a cost-efficient manner by
counseling the use of Licensed Site Remediation Professionals (LSRPs) under the
new Site Remediation Reform Act; obtaining all varieties of environmental
permits related to land use (wetlands, storm water, tidelands, coastlands,
Highlands, etc.) and counseling compliance with hazardous waste, water, air,
OSHA and other environmental programs.
We also litigate environmental cost recovery actions against responsible
parties and insurance carriers and defend penalty matters and other
administrative claims. We have assisted many private and municipal clients
obtain funding from governmental programs for cleanups and other environmental
projects.
Litigation
Meyner
and Landis handles a wide range of business and commercial litigation for its
clients as both plaintiffs and defendants in New Jersey and New York federal
and state courts. These matters include contract and commercial disputes,
banking and lender liability issues, construction claims, insurance coverage,
employment law, creditor rights and secured transactions, shareholder disputes,
restrictive covenant violations, real estate and construction matters, and
title insurance defenses.
Real Estate and Land Use
The
firm has has extensive experience in real estate
transactions, financing and development.
Our firm represents developers in purchases and sales of properties,
financing, construction and leasing; land use and zoning applications; tax-free
exchanges; and multi-family residential and commercial development projects,
including applications before the Department of Community Affairs. Our firm represents commercial landlords in
lease negotiations and tenancy matters on a regular basis.
Trusts and Estates
Meyner
and Landis serves as counsel to private banking and trust departments on estate
and trust issues. Our firm advises
individual clients in estate planning, including trusts, wills, family
partnerships and business control transactions.
Our firm handles probate and administration of trusts and estates,
contested wills and probate litigation.
